CLIENT TERMS & CONDITIONS
These Client Terms & Conditions (Terms) apply to 1:1 Nutrition Coaching provided by Heaps Good Nutrition (ABN 45 353 198 815) (we, us or our).
Please read these Terms before purchasing a Heaps Good Nutrition Coaching Plan. By purchasing a Heaps Good Nutrition Coaching Plan and confirming that you accept these Terms at checkout or sign-up, you agree to be bound by them.
These Terms should be read together with the description and price of the Coaching Plan you purchase.
1. 1:1 Nutrition Coaching
1.1 Coaching Plans
Heaps Good Nutrition provides personalised 1:1 nutrition coaching through different Coaching Plans, including Vibe and Drive.
Vibe and Drive are different levels of the same 1:1 Nutrition Coaching service and provide different levels of coaching support and contact.
The specific inclusions and price applicable to your Coaching Plan are those shown to you at the time you purchase the plan.
1.2 Coaching approach
Nutrition coaching is personalised to the individual. The strategies and tools used may vary depending on your goals, circumstances, nutritional knowledge, preferences and the level of support appropriate for you.
Heaps Good Nutrition does not guarantee that a particular nutrition strategy, meal structure, tracking method or other coaching approach will be used.
1.3 Separate products and services
Heaps Good Nutrition may also offer products or services separately from 1:1 Nutrition Coaching.
Some Coaching Plans may include access to, or discounted access to, other Heaps Good Nutrition services such as Metabolic Aesthetics.
Where another product or service is included with, or discounted because of, your active Coaching Plan, that entitlement applies only while you remain eligible for it under your Coaching Plan.
WIP — Metabolic Aesthetics: Confirm final cancellation and access process with TrainHeroic. The intended position is that included or discounted Metabolic Aesthetics access ends when the associated Nutrition Coaching service ends. A former Nutrition Coaching client may subsequently subscribe separately to Metabolic Aesthetics at the standard rate then available.
2. Minimum 12-Week Commitment
2.1 Initial commitment
All Heaps Good Nutrition 1:1 Nutrition Coaching Plans have a minimum commitment of 12 weeks, unless Heaps Good Nutrition expressly agrees otherwise in writing.
By purchasing a Coaching Plan, you are committing to the full 12-week coaching period.
The fact that fees are collected in fortnightly instalments does not make each fortnight a separate contract or give you a right to cancel the remaining commitment after any individual payment.
2.2 Active coaching weeks
The minimum commitment consists of 12 active weeks of coaching.
An approved pause under clause 6 does not count towards completion of the minimum 12-week commitment. Where a pause occurs during the minimum commitment, the date on which the minimum commitment is completed will move accordingly.
Suspension due to overdue or failed payments does not pause, extend or otherwise alter the minimum commitment.
2.3 Continuing after the minimum commitment
Your Coaching Plan does not automatically end when you complete your minimum 12-week commitment.
After the minimum commitment is completed, your Coaching Plan will automatically continue on an ongoing fortnightly basis at your applicable Coaching Plan rate until it is cancelled in accordance with clause 7.
If you want your coaching to finish when your minimum commitment ends, you must provide the required cancellation notice in advance under clause 7.
3. Fees and Fortnightly Billing
3.1 Coaching fees
You agree to pay the fees shown for the Coaching Plan you purchase.
Unless expressly stated otherwise, all Heaps Good Nutrition prices are in Australian dollars (AUD).
International clients are responsible for any currency conversion fees, foreign transaction charges or other charges imposed by their bank, card provider or payment provider.
3.2 Fortnightly payments
Nutrition Coaching fees are charged automatically on a recurring fortnightly basis using the payment method connected to your subscription.
By purchasing your Coaching Plan, you authorise the recurring payments required under these Terms.
3.3 Existing client pricing
The price applicable when you commence your Coaching Plan will continue to apply while that Coaching Plan remains active, unless:
you change to another Coaching Plan;
you cancel and later purchase a new Coaching Plan; or
you otherwise expressly agree to a different price with Heaps Good Nutrition.
Heaps Good Nutrition may change the prices offered to new clients at any time.
3.4 No prorating
Heaps Good Nutrition does not prorate Coaching Plan fees or partial billing periods.
3.5 Refunds
Fees already paid are not refundable because you:
change your mind;
do not use or participate in the coaching service;
fail to complete check-ins;
stop communicating with your coach;
request a pause after a payment has been processed; or
otherwise choose not to make use of services that were available to you.
This does not exclude any refund, remedy or other right that you are entitled to under the Australian Consumer Law or another law that cannot lawfully be excluded.
Heaps Good Nutrition may also agree to a refund or other arrangement in its discretion where it considers this appropriate.
4. Changing Your Coaching Plan
You may request to move between Heaps Good Nutrition Coaching Plans, including between Vibe and Drive.
A change of Coaching Plan:
ordinarily takes effect from your next billing cycle;
changes the services and level of support you receive to those applicable to your new Coaching Plan;
changes your ongoing fee to the price applicable to the new Coaching Plan; and
does not cancel, restart or otherwise alter your original minimum 12-week commitment.
For example, if you complete part of your minimum commitment on Drive and then move to Vibe, the active coaching weeks already completed on Drive continue to count towards the same 12-week commitment.
Where a change of plan affects an included or discounted additional service, your eligibility for that service may also change.
5. Coach Allocation and Service Delivery
5.1 Heaps Good Nutrition provides the service
Your agreement is with Heaps Good Nutrition, not with an individual coach.
Heaps Good Nutrition does not guarantee that you will be coached by any particular coach.
5.2 Coach allocation
Heaps Good Nutrition determines coach allocation having regard to factors that may include:
current coach capacity and availability;
your location or time zone;
your goals and support needs;
coach experience and suitability; and
overall coach/client fit.
Heaps Good Nutrition may change your assigned coach where reasonably necessary for the continued delivery of your coaching service.
5.3 Coach availability and leave
Coach availability may occasionally require check-in dates, communication schedules or other aspects of normal coaching delivery to be adjusted.
This may occur because of annual leave, illness, public holidays, Heaps Good Nutrition holiday periods or other periods of unavailability.
Where a longer period of coach unavailability materially affects service delivery, Heaps Good Nutrition will determine an appropriate arrangement. This may include:
adjusting the coaching schedule;
temporary support or check-ins from another Heaps Good Nutrition coach;
reassignment to another coach; or
temporarily pausing the coaching service.
Heaps Good Nutrition will communicate any material changes that affect your coaching service.
6. Pausing Your Coaching
6.1 Requesting a pause
A temporary pause may be requested by emailing Heaps Good Nutrition directly at admin@heapsgoodnutrition.com.
Pause requests must come directly from the client. A request passed on by a coach or another person does not constitute formal notice from the client.
Pauses are subject to Heaps Good Nutrition approval.
6.2 When a pause can begin
An approved pause may take effect as soon as Heaps Good Nutrition processes the request. It does not need to begin on your normal billing date.
A payment already processed before a pause takes effect will not be refunded or prorated.
Heaps Good Nutrition will advise you of your expected subscription renewal or resumption date when the pause is processed.
6.3 Maximum pause
A client may pause Nutrition Coaching for a maximum combined period of four weeks, being two fortnightly billing periods, within any rolling 12-week period.
No individual approved pause may exceed two billing periods.
Additional pauses are not automatically available once a pause has been used. Eligibility depends on the amount of pause time used within the preceding rolling 12-week period.
Heaps Good Nutrition may make an exception in its discretion where it considers exceptional circumstances justify doing so.
6.4 Effect on the minimum commitment
If you pause during your initial 12-week minimum commitment, the minimum commitment is extended by the period during which your coaching is paused.
For example, four weeks of approved pause means completion of your 12 active coaching weeks will occur four weeks later than it otherwise would have.
6.5 Services during a pause
Normal Nutrition Coaching services and coach contact are suspended during an approved pause.
Where another Heaps Good Nutrition service is dependent on your active Nutrition Coaching Plan, access to that service may also be affected during the pause.
6.6 Returning from a pause
Heaps Good Nutrition does not guarantee that your previous coach will be available when you return.
Heaps Good Nutrition will consider coach availability, capacity and suitability when arranging your return and may allocate another HGN coach where required.
7. Cancelling Your Coaching
7.1 Cancellation requests
All cancellation requests must be made in writing by the client directly to Heaps Good Nutrition by emailing: admin@heapsgoodnutrition.com
Telling your coach that you would like to cancel does not constitute formal cancellation notice.
Your coach cannot cancel your Coaching Plan on your behalf.
Heaps Good Nutrition will confirm your cancellation and your final service end date in writing.
7.2 Cancellation during the minimum commitment
The first 12 active weeks of Nutrition Coaching are a minimum commitment.
Choosing to stop participating in coaching, changing your mind or deciding that you no longer wish to continue does not ordinarily release you from your obligation to pay the fees associated with the remainder of your minimum commitment.
Heaps Good Nutrition may, in its discretion, agree to release a client from some or all of the remaining minimum commitment where HGN considers the circumstances warrant doing so.
Where appropriate, Heaps Good Nutrition may instead agree to an approved pause under clause 6.
Nothing in this clause limits any right you have to cancel or obtain another remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded.
7.3 Ending coaching at the completion of 12 weeks
Completing your minimum 12-week commitment does not automatically cancel your Coaching Plan.
If you want your service to finish at the end of your minimum commitment, you must provide Heaps Good Nutrition with at least one full fortnightly billing period's notice before your intended service end date.
7.4 Cancellation after the minimum commitment
Once your minimum commitment has been completed, you may cancel at any time by giving Heaps Good Nutrition a minimum of one full fortnightly billing period's notice.
Because Heaps Good Nutrition bills in complete fortnightly billing periods and does not prorate fees, a cancellation request will not ordinarily stop the next scheduled payment.
Following receipt of your cancellation request:
at least one further fortnightly payment will ordinarily be processed;
your coaching will continue for the corresponding final paid billing period; and
your service will end at the end of that final billing period.
Heaps Good Nutrition will confirm the applicable final payment and service end date when processing your cancellation.
7.5 No retrospective cancellation
Cancellation cannot be backdated because you have not used, accessed or participated in your coaching.
Until Heaps Good Nutrition receives a valid cancellation request directly from you under clause 7.1, your Coaching Plan remains active and recurring fees continue to apply.
7.6 Final access
Your Nutrition Coaching services and associated platform access will end on the final service end date confirmed by Heaps Good Nutrition.
Resources that you have legitimately downloaded or received while you were a client may continue to be used by you for your own personal, non-commercial purposes, subject to clause 11.
8. Failed and Overdue Payments
8.1 Payment obligations continue
If a scheduled payment fails or becomes overdue, the amount remains payable.
A failed payment does not:
cancel your Coaching Plan;
pause your Coaching Plan;
stop or extend your minimum commitment;
count as cancellation notice; or
release you from other payment obligations under these Terms.
8.2 Suspension for non-payment
Where an account remains overdue, Heaps Good Nutrition may suspend your access to:
Nutrition Coaching;
coach communication and check-ins;
Heaps Good Nutrition platforms or applications; and
associated or included training services.
Suspending services because of non-payment does not terminate the agreement or remove the client's obligation to pay amounts that are due under it.
Heaps Good Nutrition may choose not to suspend services where the client has contacted Heaps Good Nutrition and Heaps Good Nutrition has agreed to a specific payment arrangement.
8.3 Recovery of overdue amounts
Heaps Good Nutrition may take reasonable steps to recover any overdue amounts, including using formal debt recovery processes where necessary.
9. Your Participation and Responsibilities
Nutrition coaching is a collaborative service.
You are responsible for:
providing accurate information to Heaps Good Nutrition and your coach;
communicating relevant changes in your circumstances;
participating in coaching to the extent reasonably required to receive the benefit of the service;
completing agreed actions, check-ins or other activities where applicable; and
contacting Heaps Good Nutrition if you have concerns about the coaching service.
Your results may be affected by your participation, implementation, consistency and individual circumstances.
9.1 Non-engagement
If you stop:
responding to your coach;
completing check-ins;
accessing the coaching platform;
using resources; or
otherwise actively participating,
your Coaching Plan does not automatically pause or cancel.
Recurring payments continue until the Coaching Plan is cancelled in accordance with clause 7.
Non-use of the service does not create an entitlement to a refund for services that remained available to you.
10. Health Disclosure and Scope of Coaching
10.1 Accurate health information
Before and during coaching, you must provide Heaps Good Nutrition with complete and accurate information about health circumstances that may be relevant to the advice and services provided to you.
This may include relevant:
health conditions;
injuries;
allergies or intolerances;
pregnancy;
medications;
medical advice;
physical or mental health restrictions; and
other circumstances that may affect the suitability of Heaps Good Nutrition coaching.
You must tell Heaps Good Nutrition promptly if relevant circumstances change during your coaching.
10.2 Reliance on the information you provide
Heaps Good Nutrition coaching is provided on the basis of the information you provide.
Incomplete, inaccurate or outdated information may affect the suitability of the advice Heaps Good Nutrition is able to provide.
If you have received medical or other professional health advice relevant to your Nutrition Coaching, you should disclose that information to Heaps Good Nutrition where reasonably necessary for safe and appropriate service delivery.
10.3 Nutrition coaching is not medical treatment
Heaps Good Nutrition Coaching is not a substitute for diagnosis, medical treatment or care from a doctor or other appropriately qualified healthcare professional.
You should seek appropriate medical or specialist advice where required.
Heaps Good Nutrition may recommend that you consult another healthcare professional or specialist where your needs fall outside the scope of Heaps Good Nutrition coaching service.
10.4 Outside Heaps Good Nutrition scope
Heaps Good Nutrition may decline, suspend or end coaching where Heaps Good Nutrition reasonably considers that:
the services required fall outside Heaps Good Nutrition professional scope;
specialist medical, psychological, dietetic or other professional care is more appropriate;
continuing coaching may pose an unreasonable health, safety or professional risk; or
Heaps Good Nutrition can no longer provide an appropriate service in the circumstances.
11. Heaps Good Nutrition Resources and Intellectual Property
11.1 Heaps Good Nutrition Content
As part of your Coaching Plan, Heaps Good Nutrition may provide access to physical or digital resources including:
nutrition information;
educational material;
recipes;
meal-planning resources;
example meal plans;
guides;
training or exercise content;
digital programs; and
other Heaps Good Nutrition resources.
Together these are referred to as Heaps Good Nutrition Content.
11.2 Ownership
All intellectual property rights in Heaps Good Nutrition Content remain owned by Heaps Good Nutrition or the relevant third-party rights holder.
Receiving or accessing Heaps Good Nutrition Content does not transfer ownership or intellectual property rights to you.
11.3 Personal use
You may use Heaps Good Nutrition Content provided to you for your own personal and non-commercial purposes.
Unless Heaps Good Nutrition gives written permission, you must not:
sell or commercially exploit Heaps Good Nutrition Content;
reproduce or distribute Heaps Good Nutrition Content for commercial purposes;
provide paid access to Heaps Good Nutrition Content to another person;
present Heaps Good Nutrition Content as your own;
incorporate Heaps Good Nutrition Content into your own paid service, coaching program or product; or
otherwise use Heaps Good Nutrition Content in a way that infringes Heaps Good Nutrition intellectual property rights.
You may share relevant information with your healthcare professionals where reasonably necessary for your care.
11.4 After coaching ends
Materials you have legitimately downloaded or received may continue to be retained and used for your own personal, non-commercial use after coaching ends.
Access to content that remains hosted exclusively within an Heaps Good Nutrition platform, application, subscription or online service may cease when the relevant service ends.
12. Service Standards and Results
Heaps Good Nutrition will provide its services professionally, in good faith and with due care and skill.
Nutrition, health, body composition, performance and behavioural outcomes differ between individuals.
Heaps Good Nutrition does not guarantee that following any advice, strategy, information or direction will result in:
a particular weight or body composition;
a specified performance result;
a particular physical appearance;
resolution or improvement of a health condition; or
any other specific outcome.
No provision of these Terms excludes any service guarantee, right or remedy that cannot lawfully be excluded.
13. Privacy
Heaps Good Nutrition collects and handles personal and health information for the purpose of providing its services.
Heaps Good Nutrition will handle personal and health information in accordance with:
the Privacy Act 1988 (Cth) where applicable;
applicable Australian privacy laws; and
Heaps Good Nutrition Privacy Policy.
Information may be made available within Heaps Good Nutrition to team members, including your assigned coach and relevant administrative staff, where reasonably necessary to provide and administer your services.
Heaps Good Nutrition may use third-party technology platforms and service providers to deliver coaching, process payments, communicate with clients and administer its services.
14. Australian Consumer Law
Nothing in these Terms is intended to exclude, restrict or modify any consumer guarantee, right or remedy available to you under the Australian Consumer Law or any other applicable law where that right or remedy cannot lawfully be excluded, restricted or modified.
Where the Australian Consumer Law applies, Heaps Good Nutrition services come with consumer guarantees that cannot be excluded, including guarantees relating to the provision of services with due care and skill.
15. Liability and Indemnity
15.1 Consumer rights preserved
Nothing in these Terms is intended to exclude any right or guarantee to which you are entitled under the Australian Consumer Law.
15.2 Liability
To the extent permitted by law, you release and hold Heaps Good Nutrition harmless from Loss or liability relating directly or indirectly to personal injury arising from your receipt or use of Heaps Good Nutrition services, except to the extent that such liability cannot lawfully be excluded.
To the extent permitted by law, neither party will be liable to the other for Consequential Loss suffered or incurred in connection with these Terms.
A party will not be liable to the other for Loss to the extent that the other party caused or contributed to that Loss.
A party who suffers Loss must take reasonable steps to mitigate that Loss.
15.3 Indemnity
To the extent permitted by law, you indemnify Heaps Good Nutrition on a continuing basis in respect of Loss Heaps Good Nutrition suffers or incurs as a result of:
your material breach of these Terms; or
a claim relating to infringement of a third party's intellectual property rights resulting from your use of Heaps Good Nutrition Content other than as permitted by these Terms.
16. Heaps Good Nutrition Suspending or Ending Coaching
16.1 Suspension
Heaps Good Nutrition may temporarily suspend some or all services where reasonably necessary, including because of:
overdue payment under clause 8;
health or safety concerns;
conduct that materially affects Heaps Good Nutrition ability to provide the service;
circumstances requiring further information or professional clearance; or
another material breach of these Terms.
Suspension does not necessarily terminate your Coaching Plan.
16.2 Heaps Good Nutrition ending the coaching relationship
Heaps Good Nutrition may end the coaching relationship where Heaps Good Nutrition reasonably determines that continuing the service is no longer appropriate.
This may include circumstances involving:
abusive, threatening, harassing or seriously inappropriate conduct;
a significant or repeated breach of these Terms;
health, safety or professional concerns;
the client's needs moving outside Heaps Good Nutrition professional scope;
an irretrievable breakdown in the coaching relationship; or
other circumstances where Heaps Good Nutrition reasonably considers continued coaching inappropriate.
If Heaps Good Nutrition chooses to terminate your Coaching Plan, future recurring billing will stop from the effective termination date and Heaps Good Nutrition will not require you to continue paying the remaining balance of the 12-week minimum commitment.
Any fees or other amounts that had already fallen due before termination remain payable.
Suspension for overdue payment under clause 8 is not treated as Heaps Good Nutrition terminating your Coaching Plan.
16.3 Heaps Good Nutrition discretion to release a client
Heaps Good Nutrition may also agree, in its discretion, to release a client from some or all of their remaining commitment without this creating an obligation to do so for another client or in another circumstance.
17. Changes to These Terms
Heaps Good Nutrition may update these Terms from time to time.
The Terms applicable when you purchase your Coaching Plan will be retained by Heaps Good Nutrition as part of its version history.
Where Heaps Good Nutrition proposes a material change that affects an existing client's rights or obligations, Heaps Good Nutrition will provide appropriate notice and will apply the change only to the extent permitted by the existing agreement and applicable law.
Changes to Heaps Good Nutrition prices for new clients do not change the price of an existing active Coaching Plan unless otherwise agreed with the client.
18. Clients Outside Australia
Heaps Good Nutrition is an Australian business and provides services to clients in Australia and internationally.
Unless expressly stated otherwise:
fees are charged in Australian dollars;
these Terms are governed by Australian law as set out in clause 20; and
Heaps Good Nutrition services are provided from Australia.
Nothing in these Terms excludes or limits a mandatory consumer right or other legal protection available to an international client under applicable law where that right or protection cannot lawfully be excluded by agreement.
You are responsible for ensuring that Heaps Good Nutrition services are suitable for your circumstances and for obtaining local medical or healthcare advice where required.
19. Resolving Concerns and Disputes
If you have a concern about Heaps Good Nutrition services, you should contact Heaps Good Nutrition so that we have an opportunity to resolve the issue directly.
If a dispute arises in connection with these Terms, the parties must first attempt to resolve it in good faith through direct discussion.
If the dispute has not been resolved within 14 days after written notice of the dispute, either party may propose mediation.
Where the parties cannot agree on a mediator, either party may request nomination of a mediator through the Queensland Law Society or another appropriate Australian dispute resolution body agreed between the parties.
Each party will bear its own costs associated with resolving the dispute and will share the mediator's fees equally unless otherwise agreed.
Nothing in this clause prevents either party from:
seeking urgent legal relief where appropriate;
exercising rights under the Australian Consumer Law; or
accessing another statutory or regulatory dispute resolution process that is available to them.
20. Governing Law
These Terms are governed by the laws of Queensland, Australia.
Subject to any rights that cannot lawfully be excluded, the parties submit to the jurisdiction of the courts of Queensland and any courts entitled to hear appeals from those courts.
21. General Terms
21.1 Entire agreement
These Terms, together with the Coaching Plan description and any other terms expressly incorporated into them, form the agreement between you and Heaps Good Nutrition concerning your Coaching Plan.
21.2 Inconsistency
If there is an inconsistency between these Terms and general promotional or marketing material, these Terms apply unless Heaps Good Nutrition has expressly agreed otherwise with you in writing.
The specific Coaching Plan description provided at the time of purchase determines the plan-specific service inclusions and price.
21.3 Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision may be severed to the extent necessary without affecting the remaining provisions.
21.4 No waiver
If Heaps Good Nutrition does not immediately enforce a right under these Terms, that does not mean Heaps Good Nutrition has waived that right.
Where Heaps Good Nutrition makes an exception for an individual client, that does not create an entitlement to the same exception in another circumstance.
21.5 Written communication
Where these Terms require a client to give formal notice to Heaps Good Nutrition regarding cancellation or pausing, the notice must be given directly by the client in accordance with the relevant clause.
Heaps Good Nutrition may send notices and other important information concerning your Coaching Plan to the email address or other contact information registered to your account.
22. Definitions
For the purposes of these Terms:
Australian Consumer Law means Schedule 2 of the Competition and Consumer Act 2010 (Cth).
Coaching Plan means the Heaps Good Nutrition 1:1 Nutrition Coaching plan purchased by you, including Vibe or Drive.
Consequential Loss means indirect or consequential economic loss, loss of income or profit, loss of opportunity, loss of data, damage to goodwill or other indirect loss, to the extent permitted by law.
Heaps Good Nutrition Content has the meaning given in clause 11.
Loss means any damage, loss, cost, charge, expense or liability, however arising.
Minimum Commitment means the initial minimum 12 active weeks of 1:1 Nutrition Coaching described in clause 2.
Services means the services Heaps Good Nutrition agrees to provide to you under your Coaching Plan and these Terms.
